For over a decade, Zachary Soto ("Zac") has been a practicing corporate attorney in New York and Florida, focusing on all areas of business law, including securities offerings, commercial contracts, mergers and acquisitions, finance, data privacy, tax-efficient restructuring, and employment matters.  Zac has provided legal counsel to domestic and international clients, including businesses in highly regulated industries such as cybersecurity, healthcare, logistics and telecommunications.  Additionally, he has assisted clients with legal issues related to the purchase, sale, leasing and financing of real estate.

  • Advised PolyOne Corporation in $115 million sale of its Designed Structures and Solutions (DSS) business, including sheet, rollstock and packaging assets, to Arsenal Capital Partners.

  • Represented dosist does pens in securing manufacturing, distribution, delivery and resale contracts with business partners throughout the United States and Canada.

  • Counseled Atlas Holdings, LLC in its acquisition of the Interactive Printer Solutions division of NCR Corporation.

  • Represented Eutelsat Americas, one of the world’s leading operators of communications satellites, in the sale of Alterna’TV, a content distribution platform providing Latin American channels to cable and internet TV operators in the United States, to CANAL+ Group.

  • Negotiated distribution agreement for Blossom Beauty Group with SeneGence for retail skincare products.

​

  • Counseled Clover Integrated Logistics with respect to numerous commercial contracts and warehousing agreements.

​

  • Advised Crédito Real, a leading financial institution in Mexico, in its acquisition of majority ownership of Instacredit, a consumer finance company operating in Panama, Nicaragua and Mexico, for an aggregate value of $70 million.

​

  • Represented STG Logistics in connection with the rollup of various logistics companies having a total value approaching $200 million.

​

  • Counseled Solace Holdings, a Nevada-based cannabis cultivator and processor, in all commercial contract negotiations regarding manufacturing and distribution contracts, as well as numerous corporate governance and regulatory compliance matters.

​

  • Represented Molycorp Inc., an advanced material manufacturer, in connection with obtaining debtor-in-possession financing of over $135 million to support its reorganization under chapter 11 bankruptcy.

​

  • Led U.S. legal team in post-merger, tax-efficient restructuring of Cushman & Wakefield.

​

  • Managed private placement of securities for Caribbean Park Apartments, a Tampa-based residential real estate development project.

​

  • Represented The Feldman Companies in private placement of securities for Liberty Plaza Storage, a Philadelphia-based commercial property development for a self-storage business.

​

  • Represented manufacturer of flood barrier elements in securing east coast distribution and licensing of brand and products throughout the eastern coast of the United States.

​

  • Represented medical cannabis investment company in purchase of Illinois cannabis cultivation company.

​

  • Counseled Asbury Automotive Group, Inc., in connection with Rule 144A and Regulation S offering.
